Terms of Service

Last updated 19 October 2026

These terms are an agreement between [COMPANY LEGAL NAME] ("we", "us") and the organisation that signs up for Audit Assistant ("you", "the customer"). By creating an account or using the service on behalf of an organisation, you confirm that you can bind that organisation to these terms.

Audit Assistant is for business use only. It is not offered to consumers.

1. Who we are

[COMPANY LEGAL NAME] (company number [COMPANY NUMBER]), [REGISTERED ADDRESS]. Contact: hello@auditassist.app.

2. The service

Audit Assistant is a web application that helps internal and external auditors plan, test and report on audits, using AI to draft documents, analyse evidence and answer questions about your own audit records.

We may improve and change the service. If a change materially reduces what you have paid for, we will tell you in advance.

3. Accounts and users

  • Your organisation's administrators add and remove users, and decide what they can do. You are responsible for everything done under your organisation's accounts.
  • Keep passwords confidential and tell us promptly at support@auditassist.app if you suspect an account has been compromised.
  • Each user must be a real person; accounts may not be shared.

4. Acceptable use

You must not:

  • break the law, or upload material you have no right to use;
  • try to access another organisation's data, probe or disrupt the service, or get around its limits (including rate limits and credit charges);
  • use the service to build a competing product, or copy, resell or reverse engineer it, except where the law allows this;
  • use automated means to extract data, other than through features we provide.

We may suspend access that breaches this section, and will tell you why.

5. AI-generated output

The service uses AI models to produce drafts, suggestions, conclusions and answers. AI output can be wrong or incomplete. It is a draft for a qualified person to review, not professional advice and not an audit opinion.

  • You remain responsible for your audit work, your professional judgements and everything you issue, including any opinion, report or finding.
  • Answers cite the sources they are based on. Check them before relying on an answer.
  • Fixed analytics tests run by code, not by AI, and report exactly which rows were tested, excluded or flagged. You remain responsible for choosing the test, the data and the conclusion.

6. Your data

  • You own your data: everything you upload or create in the service, including documents, evidence, transcripts, datasets and outputs.
  • You give us the right to host, process and transmit your data only as needed to provide, secure and support the service for you.
  • We do not use your data to train AI models, and our AI providers do not either under their commercial terms.
  • Before text is sent to an AI provider, payment card and bank account numbers, national ID numbers, personal email addresses and phone numbers are replaced with placeholders. Names and work email addresses are kept, because who did what is often audit evidence.
  • Where your data contains personal data, we process it as your processor under the Data Processing Agreement in the Privacy Policy, which forms part of these terms. The providers we use are listed on the Sub-processors page.

7. Credits and payment

  • AI actions use prepaid credits. The number of credits each action uses is shown in Settings → Billing before you use it.
  • Credits are bought in packs through our payment provider, Stripe, at the price shown at checkout. [DECISION: VAT. Prices are shown without VAT; if we are VAT-registered, VAT is added at checkout where it applies.]
  • A workflow is charged when it starts and refunded automatically if it fails. Other AI actions are charged only when they finish.
  • [DECISION: Credits do not expire while your account is open.]
  • Refunds are covered by the Refund Policy.
  • We may change credit prices or pack prices for the future. A change never affects credits you have already bought.

8. Availability and support

We aim to keep the service available and to fix problems promptly, but do not guarantee uninterrupted or error-free operation. We may need to take it offline for maintenance; where we can, we will warn you first. Support is by email at support@auditassist.app.

9. Confidentiality

Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement. Your data is your confidential information.

10. Intellectual property

We own the service, its software and its content (other than your data). These terms give you the right to use the service; they do not transfer any of our intellectual property to you. Feedback you give us may be used to improve the service.

11. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
  • Neither of us is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
  • We are not liable for any decision, opinion or report you make or issue based on AI output (section 5).
  • Otherwise, our total liability to you in any 12-month period is limited to the amount you paid us in that period. [DECISION: confirm this cap with a solicitor.]

12. Suspension and ending the agreement

  • You can stop using the service at any time. To close your organisation's account, email support@auditassist.app.
  • We may suspend or end your access if you seriously breach these terms and do not put it right within 14 days of our notice, or immediately if needed to protect the service or other customers.
  • When the agreement ends, you can ask for an export of your data within 30 days. We then delete your data from the live service, and it leaves our backups as they expire. [DECISION: confirm the 30-day window and backup retention.]

13. Changes to these terms

We may update these terms. We will tell you about material changes by email or in the service at least 30 days before they take effect. Continuing to use the service after that means you accept the new terms.

14. General

  • These terms, the Privacy Policy and the Refund Policy are the whole agreement between us about the service.
  • If any part is found unenforceable, the rest still applies.
  • Neither of us may transfer this agreement without the other's consent, except to a successor of the whole business.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
